These Terms of Service (the "Terms") are an agreement between you and Speaw (United Kingdom), trading as datdzn. They apply to every product we sell through a marketplace, to every account on datdzn.com (the “Site”), and to custom development work we agree to carry out for you. By completing a purchase, creating an account or paying an invoice, you accept these Terms in full. If you do not agree with them, do not buy or use our products.
1. Definitions
"We", "us" and "datdzn" mean Speaw (United Kingdom), trading as datdzn.
"Marketplace" means any store we sell through, currently BuiltByBit, sourceXchange and the WHMCS Marketplace.
"Product" means any theme, addon, extension, egg or other downloadable item we sell, together with its documentation and updates.
"Platform" means the third-party software a Product is built for, such as Tebex, Pterodactyl, WHMCS, Paymenter and Calagopus.
"Customer" or "you" means only the person or company that completed the purchase on a Marketplace or paid our invoice. Employees, partners, clients and anyone else who has access to a Product through you are not Customers and receive no rights under these Terms.
"License" means the permission to use a Product described in section 3.
"Custom Work" means development we agree to carry out for you under section 12.
2. Purchases and payment
Products are sold only through the Marketplaces. Prices are shown in US dollars. Any applicable tax is added by the Marketplace at checkout.
The Marketplace processes your payment and delivers the files. We do not receive or store your payment details.
Your order is complete, and these Terms are accepted, at the moment the Marketplace confirms payment.
After payment a datdzn account is linked to your purchase so you can manage your license, download updates and open support tickets.
3. Your license
When you buy a Product you receive a lifetime, non-exclusive, non-transferable license to install and use it, subject to the following limits:
One license covers one live installation. You may install the Product as many times as you like (for example on a staging copy), but only one active IP address can validate the license at any time.
The license is bound to the domain or panel where it is activated. You can move it to a new domain at any time; the license service detects the change automatically and the previous installation stops validating.
The license belongs to the Customer only. It cannot be sold, given away, lent, rented, sublicensed or transferred to another person or company.
You may configure the Product through the options and integration points it provides. You may not open, decompile, modify, fork or alter its source code, and you may not remove or bypass the license check.
You may not copy, share, publish, resell, redistribute, leak or bundle the Product or any part of it, in original or modified form, with or without payment. Uploading a Product to a public or private repository, forum or file host counts as redistribution.
You may not use the Product to build a competing product or to reproduce its design or code in another product.
4. Time-limited licenses
In some cases, such as demo requests, evaluation periods or partnership agreements, we may issue a license with an expiry date instead of a lifetime license. A time-limited license carries the same restrictions as section 3, stops validating when it expires, and can be renewed or converted to a lifetime license only by agreement with us. Unused time on an expired or cancelled time-limited license is not refunded.
5. License validation
Products contact our license service in the background to confirm that the license is valid. Each request sends the license key, the domain or panel it runs on and the IP address of the installation. We store this data as described in our Privacy Policy.
If a Product cannot reach the license service, or the service rejects the key, the Product stops working within 60 minutes and resumes automatically once a valid check succeeds.
Blocking, spoofing, proxying or otherwise interfering with license validation is a breach of these Terms.
6. Branding credit
Products may display a small "by datdzn" credit in a footer or about screen. The credit must stay visible unless you purchase a credit-removal option for that Product, after which you may remove it. Removing or hiding the credit without that purchase is a breach of these Terms.
7. Support
Every Product includes free support for the period stated on its sales page, which is normally 12 months from purchase. Support covers installation, configuration and bugs in the Product itself. It does not cover custom changes, third-party addons, hosting problems or the Platform.
Support is provided through tickets on our Discord server. Ticket transcripts and their summaries are stored so that you and we can refer back to them.
After the support period ends our support team may still choose to help free of charge at its own discretion, but it is not obliged to. Extended or priority support may be offered as a paid option.
8. Updates and compatibility
Updates are published on the Marketplace and in your datdzn account, and we notify you by email when a Product you own is updated.
Whether a given update is free depends on the Product. Maintenance and minor updates are normally included. Where an update requires substantial new development, for example to support a major new Platform version, we may release it as a paid upgrade.
We may stop supporting or updating a Product or a Platform version when it is no longer viable to maintain, for example because the Platform has changed or demand has ended. Existing installations keep working, but no further updates or support are provided. We announce end of support on the Product page and by email.
9. Third-party platforms
Products run on top of software we do not control (Tebex, Pterodactyl, WHMCS, Paymenter and Calagopus, hosting providers and payment gateways). You are responsible for meeting each Platform's own license, hosting and technical requirements. We are not responsible for changes, outages, security issues or pricing decisions made by those Platforms, or for a Product no longer working because a Platform changed.
10. Suspension and bans
We may suspend or permanently ban a license, an account or both, without refund, if we find that:
a license key has been shared, leaked or used on more installations than allowed;
a Product has been redistributed, resold, modified or had its license check removed;
a payment was disputed or charged back without contacting us first;
a purchase was made with fraudulent or stolen payment details;
our license service, Site or Discord server has been abused, attacked or used to harass staff or other customers.
Bans are issued only on the basis of concrete evidence such as validation logs, marketplace records or published copies of a Product. Because of this, bans are final and we do not run an appeals process. Where a breach involves redistribution or piracy, we also reserve the right to send a formal legal notice and to pursue copyright claims and damages through the courts.
11. Refunds
Refunds are governed by our Refund Policy, which forms part of these Terms. In short: sales are final, refund requests must be made within 48 hours of purchase and are only granted in the limited cases listed in that policy.
12. Custom development
In addition to ready-made Products we take on custom development projects. The following applies to Custom Work and takes precedence over sections 3 to 8 where they conflict:
Scope, price and timeline are agreed in writing (email or ticket) before work starts. Anything not listed in the agreed scope is a change request and may be quoted separately.
Full payment is due in advance unless the written agreement sets out milestones. Work begins when payment is received.
Custom Work is delivered as a Product licensed to you under section 3 unless the written agreement grants you ownership of the deliverables. We keep ownership of our libraries, tooling, frameworks and any code that is not specific to your project, and we may reuse it in other work.
You receive the free support period agreed in writing, otherwise 30 days from delivery, for defects in the delivered work.
We may show the finished work in our portfolio and marketing unless you ask us in writing, before work starts, to keep the project confidential.
Custom Work payments are not refundable once work has started, except for the part of an agreed milestone that we fail to deliver.
13. Accounts
You must be at least 18 years old to create an account or buy a Product.
You are responsible for keeping your sign-in details confidential and for everything that happens under your account. Tell us immediately if you suspect unauthorised access.
You must give us a valid email address and keep it current, because we use it to verify your account and to send legally required notices.
We may delete accounts that have been inactive for more than 3 years and hold no licenses.
14. Intellectual property
All Products, their code, designs, images, documentation and the datdzn name and logo are our property or licensed to us and are protected by copyright and trademark law. Buying a Product gives you the license in section 3 and nothing more; no ownership is transferred. Unauthorised copying or distribution is a breach of these Terms and of copyright law.
15. Limitation of liability
Products and Custom Work are provided as described on their sales page. Beyond that description we make no warranty that a Product will meet your needs, be error-free or work with every configuration.
To the fullest extent permitted by law, our total liability for any claim relating to a Product or Custom Work is limited to the amount you paid us for it.
We are not liable for indirect or consequential losses, including lost revenue, lost data, downtime or reputational harm, even if we were told they might occur.
Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud.
16. Indemnity
You agree to compensate us and hold us harmless against any claim, loss, damage, fine or legal cost that arises from your breach of these Terms, from your use or misuse of a Product, or from content or services you provide to your own customers using a Product.
17. Changes to these Terms
We may update these Terms. The date at the top shows the current version. We will email the address on your account at least 14 days before a material change takes effect. Continuing to use a Product or your account after that date means you accept the new Terms.
18. Governing law and disputes
Speaw is registered in the United Kingdom (London). These Terms are governed by the laws of the Republic of Türkiye, and the courts and enforcement offices of İzmir and İstanbul have exclusive jurisdiction over any dispute arising from them, without prejudice to our right to seek injunctive relief against copyright infringement in any jurisdiction. Before starting legal proceedings, both sides agree to try to resolve the dispute by contacting each other at [email protected].
